In a new article for the Journal of Corporation Law, BWC Member Henry Hu discusses Strategy Inc. as an example of a new type of public company whose business model centers on Bitcoin rather than traditional business operations. He argues that the company’s strategy depends on issuing shares at a premium to the value of its Bitcoin holdings and using the proceeds to acquire additional Bitcoin and support shareholder returns. Hu concludes by considering the implications of this model for corporate governance, securities regulation, and the evolving economy.
